These Terms of Service ("Terms") govern your access to and use of the Bluplai marketing site at bluplai.com and the Bluplai application at app.bluplai.com (together, the "Service"), provided by Bluplai LLC ("Bluplai", "we", "us"). By accessing or using the Service, you agree to these Terms.

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information and for keeping your credentials confidential. You are responsible for all activity that occurs under your account.

You retain ownership of the content you submit to the Service ("Your Content"). You grant Bluplai a worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely to operate and improve the Service for you and your organization.

4. AI-generated output

The Service uses AI models to generate suggestions, summaries, and other output. AI output may be inaccurate or incomplete. You are responsible for reviewing AI output before relying on it, and for any decisions you make based on it.

5. Subscriptions and fees

Some features may require a paid subscription. Fees, billing intervals, and refund terms will be presented to you at the time of purchase. Unless stated otherwise, fees are non-refundable, and subscriptions auto-renew until cancelled.

6. Third-party services

The Service integrates with third-party providers (including Clerk for authentication, Supabase for data storage, OpenRouter for AI, Vercel and Railway for hosting, and Gleap for feedback). Your use of those services may be subject to their own terms.

7. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service using at least the same degree of care it uses to protect its own confidential information, and not less than a reasonable standard of care.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued provision of the Service to you is no longer commercially viable. On termination, your right to use the Service ends immediately.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUPLAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US$100.

You will defend and indemnify Bluplai against any claim by a third party arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from these Terms or the Service.

13. Changes

We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
